Terms of Service

1. Acceptance of Terms & Pre-Incorporation Covenant

By accessing, browsing, or utilizing the website, digital products, consulting services, and enterprise architectures (collectively, the "Services") provided by The Humble Foundry Pvt. Ltd. (a company formally incorporated under the Companies Act, 2013, which shall hold all rights, obligations, and covenants set forth herein), you expressly agree to be bound by these Terms of Service. If you do not assent to these terms in their entirety, you are strictly prohibited from accessing or using our Services.

2. Non-Disclosure & Confidentiality (NDA)

Pursuant to the Indian Contract Act, 1872, all clients, partners, employees, and contractors agree to hold all Confidential Information in strict confidence and shall not disclose, copy, reproduce, transmit, export, or distribute any such information to any third party without express prior written authorization from an executive of the Company.

Definition of Confidential Information: "Confidential Information" includes, without limitation, all proprietary software, source code, repositories, system architectures, algorithms, product roadmaps, UI/UX designs, unreleased software products, internal operational tools, business plans, user data, client details, financial projections, and compensation structures of the Company.

Survival: The obligation of confidentiality shall survive the expiration or termination of any engagement for a perpetual period or until such information enters the public domain through no fault of the receiving party.

3. Intellectual Property (IP) Assignment

Absolute & Irrevocable Assignment: Regardless of employment status or classification, pursuant to Section 19 of the Indian Copyright Act, 1957, any contributing party hereby irrevocably, unconditionally, and perpetually assigns and transfers to the Company all worldwide rights, titles, ownership, copyrights, patent rights, trademark rights, and moral rights in all code, software frameworks, algorithms, documentation, technical specs, bug fixes, designs, graphics, and trade secrets created, developed, or contributed to by the party during the period of engagement ("Work Product").

Work Made for Hire Supplemental Provision: To the extent that any Work Product qualifies under Section 17 of the Indian Copyright Act, 1957 as a 'work made for hire', the parties agree that all such Work Product belongs strictly and exclusively to the Company from its inception.

4. Acceptable Use and User Obligations

You agree to utilize our Services solely for lawful purposes. You shall not:

• Engage in reverse engineering, decompilation, or disassembly of any proprietary software provided by the Company.
• Attempt to bypass, exploit, or disrupt our security protocols, Row Level Security (RLS) implementations, or authentication mechanisms.
• Transmit any malicious code, viruses, or logic bombs that may harm our infrastructure.

5. Internal Portals and Authorization

Access to internal operations, HR portals, and settings portals is strictly limited to verified, currently employed personnel and authorized administrators of The Humble Foundry. Any unauthorized attempt to access, scrape, or manipulate data within these restricted environments is a severe breach and will be prosecuted to the fullest extent of the law.

6. Non-Solicitation

During any tenure or engagement with the Company and for 6 (six) months post-termination, partners, contractors, and employees shall not directly or indirectly solicit, induce, or attempt to hire any employee, intern, or contractor of the Company.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. THE HUMBLE FOUNDRY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE HUMBLE FOUNDRY PVT. LTD., ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT.

9. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India, specifically noting the Indian Contract Act, 1872, the Companies Act, 2013, and the Indian Copyright Act, 1957. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of competent courts located in Lucknow, Uttar Pradesh, India.
